Your use of cobbo.net and the Invoice Creator offered by Cobbo Nigeria Ltd. is governed by the following Terms of Use. By using the Invoice Creator you acknowledge and accept these Terms. Please read this information carefully and retain a copy for future reference.
The Invoice Creator is provided to you as an online based software service enabling you to create, save and download your own personalized invoices. To do this you will need to create a user account by providing us your email address.
You acknowledge and confirm that the invoice created by the Invoice Creator is a retail invoice only, intended for requesting payments from your customers or clients for the goods and services you provide them. Invoice Creator will not create a "tax invoice" and will not include all components required by your tax jurisdiction to qualify for tax invoice purposes. The invoice created should not be used or relied upon for tax purposes.
You further acknowledge and agree that it is your responsibility to confirm that the invoices you create are true and correct, and that they contain complete and accurate information regarding the transaction described therein. You represent and warrant that you have all rights to all content and data uploaded by you as part of your use of the Invoice Creator.
Aggregate Data: During and after the term of this agreement, we may use non-personally identifiable data within the Invoice Creator for purposes of enhancing the service, aggregated statistical analysis, technical support and other business purposes.
You acknowledge that you are solely responsible for all activity in your user account. Accordingly, you must use commercially reasonable efforts to prevent unauthorized access to your user account, and notify us promptly of any such unauthorized access.
Your Content. You retain all ownership rights in the content and data you create, upload or store through the Invoice Creator, including your invoices, logos, signatures, business details and the customer information you enter. By using the Service you grant Cobbo Nigeria Ltd. a limited, non-exclusive licence to host, store, process, transmit and display that content solely as needed to operate and provide the Service to you.
You will not use the Invoice Creator for any illegal, fraudulent or other prohibited activity. If we suspect that you may be engaging in or have engaged in a fraudulent, illegal or prohibited activity, including any violation of these Terms, your access to the Invoice Creator may be suspended or terminated.
Without derogating from the generality of the above, you may not:
When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.
You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service.
You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
You may not use as a username the name of another person or entity, a name or trademark subject to the rights of another person or entity, or a name that is otherwise offensive, vulgar or obscene.
Some features of the Invoice Creator are offered on a paid subscription basis. Subscription plans, their prices, billing cycles (for example monthly or annual) and any free trial period are described at the point of purchase. Where a free trial is offered, your paid subscription begins automatically at the end of the trial unless you cancel before it ends.
Subscription fees are billed in advance for each billing cycle and are stated in the currency shown at checkout. Payments are processed by our third-party payment provider (Paystack). By subscribing, you authorise us and our payment provider to charge the payment method you supply for the applicable fees, including on each renewal.
You are responsible for any taxes associated with your subscription other than taxes based on our net income. We may change our fees or introduce new charges from time to time; we will give you reasonable notice of any fee change before it takes effect, and continued use after the change constitutes acceptance.
Unless you turn off auto-renewal, your subscription will automatically renew at the end of each billing cycle and the then-current fee will be charged to your payment method using the stored payment authorisation. This allows uninterrupted access to your paid features.
You may cancel your subscription or disable auto-renewal at any time from your account settings. Cancellation takes effect at the end of the current billing cycle: you will retain access to paid features until that date, and you will not be charged for subsequent cycles.
We may suspend or downgrade your access to paid features if a renewal payment fails or your subscription lapses.
Except where required by applicable law, subscription fees are non-refundable and there are no refunds or credits for partial billing periods, unused time, or features not used. If you believe you have been charged in error, contact us at support@cobbo.net and we will review your request.
The Invoice Creator allows an account owner to create an organization and invite other people to collaborate as team members, each with an assigned role that determines what they can access and do. The account owner is responsible for managing team members, for their activity within the organization, and for ensuring they comply with these Terms.
Invitations are personal to the invited recipient and may expire. We may rely on the owner's instructions regarding who is authorised to access the organization's data.
We may offer credits, such as a sign-up bonus or rewards for successfully referring new users. Credits have no monetary value, are not transferable or redeemable for cash, and may only be used within the Invoice Creator (for example, towards creating invoices) as we determine.
We may modify, suspend or discontinue the referral program or any credits at any time, and we may withhold or revoke credits where we reasonably suspect fraud, abuse, self-referral, or any violation of these Terms.
If we provide programmatic access to the Service through an application programming interface (API), your use of the API is subject to these Terms and to any documented rate limits and usage restrictions. You are responsible for keeping your API tokens and credentials secure and for all activity carried out using them. We may throttle, suspend or revoke API access to protect the integrity, security or availability of the Service.
We will ensure that all your personal data is held in accordance with the data privacy and security provisions of applicable law and our published Privacy Policy. Your use of the Invoice Creator is subject to the Privacy Policy which you agree to as part of these Terms. We may amend the Privacy Policy by an update on the Privacy Policy page.
YOU ACKNOWLEDGE AND AGREE THAT WE RESERVE THE RIGHT TO ACCESS AND DISCLOSE PERSONAL DATA RELATING TO YOU TO COMPLY WITH ALL APPLICABLE LAWS AND LAWFUL REQUESTS FROM GOVERNMENT AND/OR OTHER REGULATORY AUTHORITIES, AND/OR TO PROTECT US, OUR CUSTOMERS AND OTHER USERS.
The Service may contain links to third-party web sites or services that are not owned or controlled by Cobbo Nigeria Ltd. Cobbo Nigeria Ltd. has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party web sites or services.
We strongly advise you to read the terms and conditions and privacy policies of any third-party web sites or services that you visit.
You agree to defend, reimburse or compensate us and hold us, our other companies in our corporate group and any third parties on which we rely or partner with to deliver products and services harmless from any claim, demand, expenses or costs (including legal fees, fines or penalties) that we incur or suffer due to or arising out of your breach of these Terms, breach of any applicable law or regulation and/or use of the Invoice Creator.
YOUR USE OF THE INVOICE CREATOR IS AT YOUR OWN RISK. THE INVOICE CREATOR IS PROVIDED ON AN "AS IS" BASIS WITHOUT WARRANTIES OF ANY KIND. WE HEREBY DISCLAIM ALL WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
No content, form or information provided by us as part of the Invoice Creator shall constitute or be construed as legal advice or tax advice. For additional information with respect to tax regulations, please consult with a tax attorney or tax advisor.
IN NO EVENT SHALL WE, OUR AGENTS, REPRESENTATIVES, DIRECTORS, OFFICERS, EMPLOYEES AND AFFILIATES BE LIABLE TO YOU OR ANY OTHER PARTY FOR ANY LOSS OR INJURY OR ANY DAMAGES, EITHER DIRECT, INDIRECT, PUNITIVE, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR OTHERWISE (INCLUDING, BUT NOT LIMITED TO LOST PROFITS OR LOST SAVINGS) RESULTING FROM OR IN ANY WAY CONNECTED TO YOUR USE OF THE INVOICE CREATOR.
These Terms shall be governed by and interpreted in accordance with the laws of Nigeria. Any dispute under these Terms and Conditions or in connection with your use of the Invoice Creator shall be brought exclusively in the courts of Nigeria.
If any part of these Terms and Conditions is found by a court of competent jurisdiction to be invalid, unlawful or unenforceable, such part shall be severed from the remainder of the Terms, which shall continue to be valid and enforceable to the fullest extent permitted by law.
We reserve the right to make changes or additions to these Terms at any time and to cancel or suspend this Invoice Creator service should it determine, in its sole discretion, that the administration, security or fairness of the service has been compromised in any way.
